Terms of Service

1. Acceptance of Terms 

By accessing or using Huzle.com (“Site”) or engaging Huzle (“Company,” “we,” “our,” or “us”) for services, you agree to be bound by these Terms of Service (“Terms”). 

If you do not agree, you may not use our Site or services. 

2. Services 

Huzle provides digital marketing and related services, including but not limited to: 

Paid advertising management (Meta, Google, etc.)  

AI platform visibility and optimization  

E-commerce and marketplace management  

Content and influencer services  

Website and SEO services  

Services may also be governed by separate agreements, proposals, or scopes of work (“SOW”). In the event of conflict, the SOW controls. 

3. Eligibility 

You must be at least 18 years old and legally capable of entering into a binding agreement. 

4. User Responsibilities 

You agree to: 

Provide accurate and complete information  

Maintain account security  

Comply with all applicable laws and platform policies  

Avoid unlawful, deceptive, or harmful activity  

You are responsible for all actions taken under your accounts. 

5. Term & Minimum Commitment 

A. Term Length 

All services are subject to a minimum commitment period of three (3) to six (6) months, depending on the service selected, as specified in your proposal or SOW. 

B. Early Termination 

If services are terminated before completion of the minimum term: 

  • All remaining fees for the committed term become immediately due and payable  

C. Renewal 

After the minimum term, services continue on a month-to-month basis unless otherwise agreed. 

6. Fees & Payment 

A. Fees 

Fees are outlined in your proposal, SOW, or subscription plan. 

B. Payment Terms 

  • Payments may be billed upfront, monthly, or per agreed schedule  
  • Late payments may result in service suspension or termination  
  • Fees are non-refundable unless explicitly stated  

C. Third-Party Costs 

You are responsible for: 

  • Advertising spend  
  • Platform fees  
  • Third-party tools and services  

7. Chargebacks & Payment Protection 

You agree not to initiate chargebacks or payment disputes without first making a good-faith effort to resolve the issue with Huzle. 

In the event of a chargeback: 

  • You remain responsible for all agreed fees  
  • We reserve the right to provide proof of services rendered to the payment processor  
  • You agree to reimburse any chargeback fees, administrative costs, and associated expenses  
  • Services may be immediately suspended or terminated  

8. No Guarantee of Results 

Huzle does not guarantee specific outcomes, including: 

  • Revenue increases  
  • Lead volume  
  • Ad performance  
  • Search rankings  

Results depend on factors beyond our control. 

9. Ad Account Ownership 

All advertising accounts (including but not limited to Meta, Google, TikTok, Amazon, and other platforms) are and shall remain the sole property of the client. 

Huzle: 

  • Does not claim ownership of client ad accounts  
  • May be granted access for management purposes only  
  • Will relinquish access upon termination of services  

The client is responsible for maintaining account access and compliance. 

10. Intellectual Property 

A. Company IP 

All proprietary systems, strategies, frameworks, and processes remain the property of Huzle. 

B. Client Materials 

You retain ownership of materials you provide. 

C. Deliverables 

Unless otherwise agreed: 

  • Deliverables are licensed for your use  
  • Ownership transfers only upon full payment  

11. Non-Solicitation 

During the term of services and for a period of twelve (12) months following termination, you agree not to: 

  • Directly or indirectly solicit, hire, or engage any Huzle employee, contractor, or team member  

If this provision is breached: 

  • You agree to pay liquidated damages equal to 50% of the individual’s annualized compensation or $25,000, whichever is greater  

12. Confidentiality 

Both parties agree to protect confidential, non-public information shared during the relationship. 

13. Third-Party Platforms 

We are not responsible for: 

  • Platform outages  
  • Account suspensions or bans  
  • Algorithm changes  
  • Policy updates  

14. Termination 

A. By Either Party 

Services may be terminated with written notice after the minimum term. 

B. Immediate Termination 

We may terminate immediately if: 

  • You breach these Terms  
  • Payments are not made  
  • Activity is unlawful or harmful  

C. Effect of Termination 

  • All outstanding balances become due  
  • Access to services may be revoked  

15. Limitation of Liability 

To the maximum extent permitted by law: 

Huzle shall not be liable for: 

  • Indirect or consequential damages  
  • Loss of revenue, profits, or data  

Total liability is limited to the amount paid to Huzle in the preceding three (3) months. 

16. Indemnification 

You agree to indemnify Huzle against claims arising from: 

  • Your use of services  
  • Your content or data  
  • Violations of law or third-party rights  

17. Disclaimer of Warranties 

Services are provided “as is” without warranties of any kind. 

18. Governing Law 

These Terms are governed by the laws of the State of Tennessee. 

19. Dispute Resolution 

Disputes shall be resolved through: 

  1. Good-faith negotiation  
  2. Binding arbitration in Tennessee  

20. Changes to Terms 

We may update these Terms at any time. Continued use constitutes acceptance.
